1. to receive the financial statements of the Corporation for the fiscal period ending October 31, 2019, and the report of the auditors thereon;

• to appoint auditors for the 2020 fiscal year and authorize the directors to fix the remuneration of the auditors;

• to approve the January 8^th, 2019 AGM minutes;

• to elect Directors of the Corporation;

• to consider and, if deemed advisable, to pass with or without variation, a special resolution to approve the replacement of the Corporation’s “Constitution and Bylaws” by a new “General Operating By-law No. 1” as more particularly set out in the form attached hereto as Schedule “A”;

• to consider and, if deemed advisable, to pass with or without variation, a special resolution to approve an amendment to the special provisions at paragraph 7 of the Corporation’s Letters Patent by submitting an Application for Supplementary Letters Patent to the Ontario Ministry of Government Services in the form attached hereto as Schedule “B”; and

• to transact such further and other business as may properly be brought before the meeting or any adjournment thereof.
